Bitzero Holdings has agreed to raise about $25 million through a private placement, giving the data center operator additional capital to repay debt and develop its high-performance computing and AI infrastructure.
The company will issue 5.83 million special warrants at $4.25 each to institutional investors, according to a statement released Wednesday. Each special warrant will automatically convert, without additional payment, into one Bitzero common share and one share-purchase warrant after the company completes the required Canadian securities qualification process, or four months and one day after the offering closes.
The accompanying warrants will be exercisable immediately at $5 a share and will remain outstanding for five years. Full exercise would provide Bitzero with additional capital while potentially expanding the number of shares outstanding.
Bitzero said it plans to use the initial proceeds to repay certain outstanding debt, continue developing its products and services, fund potential acquisitions and support working capital and general corporate needs. The company didn’t identify the investors or specify how much of the proceeds would be allocated to each purpose.
